Welcome to Farm Shop Drive ("the App"), a mobile application that connects travellers with farm shops as destinations during long drives. These Terms and Conditions ("Terms") govern your use of the App by individual users ("Users") and the participating farm shops ("Farm Shops") that pay for placement on the platform. By accessing or using the App, you agree to be bound by these Terms. If you do not agree, please do not use the App.
Farm Shop Drive is operated by Farm Shop Drive Ltd. ("we," "us," or "our"), a company registered in England and Wales. For inquiries, contact us at support@farmshopdrive.com.
These terms apply to all individuals and entities using the App, including Users and Farm Shops.
You must be at least 18 years old to use the App.
By using the App, you confirm that you have the legal capacity to enter into these Terms.
We grant you a non-exclusive, non-transferable, revocable licence to use the App for personal or business purposes in accordance with these Terms.
You may not modify, distribute, or reverse-engineer the App or use it for any unlawful purpose.
Users and Farm Shops may need to create an account to access certain features.
You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account.
Notify us immediately of any unauthorised use of your account at support@farmshopdrive.com.
You agree not to:
Use the App to engage in illegal activities.
Attempt to hack, disrupt, or overload the App's infrastructure.
Post or share content that is defamatory, obscene, or infringes on others' rights.
Use automated systems (e.g., bots) to access or scrape the App.
We reserve the right to modify, suspend, or discontinue the App at any time without notice.
We are not liable for any losses resulting from such changes.
These terms apply specifically to individuals using the App to discover and visit farm shops.
The App provides information about farm shops, including their locations, offerings, and hours, to help Users plan stops during long drives.
We do not guarantee the accuracy, availability, or quality of the farm shops listed, as this information is provided by the Farm Shops.
The App is a discovery tool and does not guarantee the availability of products, services, or parking at farm shops.
Users are responsible for verifying details directly with Farm Shops before visiting.
Users must respect the property and staff of Farm Shops when visiting.
Any disputes between Users and Farm Shops are to be resolved directly between the parties. Farm Shop Drive is not liable for such disputes.
Users may submit reviews, ratings, or photos of farm shops via the App.
By submitting content, you grant us a non-exclusive, royalty-free, worldwide licence to use, display, and distribute this content in connection with the App.
Content must not be false, misleading, or infringe on any third-party rights.
These terms apply to farm shops that pay for placement on the App to promote their business.
Farm Shops may purchase a listing on the App to promote their location, products, and services to Users.
Placement fees are outlined in a separate agreement or pricing schedule provided during onboarding.
Payment is required in advance, and listings are subject to our approval.
Farm Shop Drive does not guarantee increased footfall, sales, or any specific business outcomes from being listed on the App.
The App serves as a promotional platform, and results depend on various factors outside our control, including User behaviour and Farm Shop offerings.
Farm Shops are responsible for providing accurate and up-to-date information about their business, including location, hours, and offerings.
We reserve the right to remove or edit listings that contain inaccurate, misleading, or inappropriate content.
Placement fees are non-refundable unless otherwise specified in a separate agreement.
Failure to pay fees may result in the suspension or removal of your listing.
We may terminate or suspend a Farm Shop's listing at our discretion, including for non-compliance with these Terms or failure to maintain accurate listing information.
Farm Shops may request removal of their listing by contacting support@farmshopdrive.com, subject to any contractual obligations.
All content on the App, including text, graphics, logos, icons, source code, object code, design, user interface elements, and other materials (collectively "Our Content"), is owned by Farm Shop Drive Ltd. or its licensors and is protected by copyright and other intellectual property laws.
Copyright protection in the UK arises automatically when the work is created in a fixed form.
We reserve all rights not expressly granted in these Terms.
Subject to these Terms, we grant you a licence to use the App and Our Content as described in Section 1b.
You may not copy, reproduce, modify, distribute, display, perform, publish, licence, create derivative works from, reverse-engineer, decompile or disassemble the App or Our Content, except where permitted by law or with our prior written consent.
By providing logos, photos, descriptions, or other materials for your listing ("Shop Content"), you grant us a non-exclusive, royalty-free, worldwide licence to use, reproduce, distribute, display and promote the Shop Content in connection with the App and our promotional activities.
You represent and warrant that you own the rights to the Shop Content or have the necessary permissions, and that its use by us will not infringe any third-party rights.
As noted in Section 2d, any content submitted by Users is licensed to us under the stated licence.
You, the User, retain ownership of your content but grant us the licence above.
If the App uses open-source software, third-party libraries or frameworks, those are subject to their applicable licences. It is your responsibility (whether as a User or Farm Shop) to comply with any terms of such open-source or third-party components.
Where you provide any modifications, integrations or extensions to the App (for example as part of a Farm Shop listing or integration), you warrant you have the rights to do so and assign or licence to us any rights needed for operation.
If any part of the App or its code is developed by employees, contractors, freelancers or third-parties, appropriate agreements should be in place to ensure full assignment of IP rights to Farm Shop Drive Ltd. (or otherwise as agreed). UK guidance emphasises that for code created by freelancers or third parties you must have written agreements to transfer ownership.
You may not use our trade marks, service marks, logos, branding, or the App's name without our prior written consent.
We may use the trade marks and branding of Farm Shops within the App for their listing, subject to permissions granted in Section 4.3.
We reserve the right to monitor for infringement of our IP rights and to take such steps as we deem necessary to enforce those rights (including removal of infringing content, issuing cease-and-desist letters, and/or legal action).
If you believe any content on the App infringes your rights, contact us at support@farmshopdrive.com to raise the matter.
In the UK, copyright in a work typically lasts for the life of the creator plus 70 years (for literary, artistic, dramatic and musical works) and longer in some cases; software is protected as a literary work.
Trade marks must be renewed periodically; design rights and patents have their own terms.
You warrant that (i) you have all necessary rights in any content you submit; (ii) your submission does not violate any third-party rights; and (iii) you will comply with all applicable open-source or third-party licences.
You agree to indemnify us for any claims, liabilities, losses or expenses arising from breach of the above warranties.
The App is provided "as is" without warranties of any kind, express or implied.
We are not liable for any direct, indirect, incidental, or consequential damages arising from your use of the App or your interactions with Farm Shops.
Our total liability to you will not exceed the amount paid by you (if any) to use the App.
You agree to indemnify and hold Farm Shop Drive Ltd., its affiliates, and employees harmless from any claims, losses, or damages arising from your use of the App or breach of these Terms.
Our Privacy Policy (available at www.farmshopdrive.com/privacy) governs the collection and use of your personal information.
By using the App, you consent to our data practices as described in the Privacy Policy.
We may terminate your access to the App at any time for violating these Terms or for any other reason.
You may stop using the App at any time by deleting your account or uninstalling the App.
These Terms are governed by the laws of England and Wales.
Any disputes will be resolved in the courts of England and Wales.
We may update these Terms at any time. The updated version will be posted on the App with the "Last Updated" date.
Continued use of the App after changes constitutes acceptance of the new Terms.
